This User Agreement ("Agreement") sets forth the terms and conditions governing your access to and use of services provided on the Website, Client Desk, Partner Desk, Mobile Application, and any other sub-domain or platform owned, developed, managed, or operated by Stockage India Invest Private Limited ("Stockage") and/or its affiliates (collectively referred to as the "Website"). By accessing or using the Website and its services, you ("User") agree to be bound by these terms. If you do not agree with the terms, you should immediately cease using the Website.

As per the Information Technology Act, 2000, this document is an electronic record generated by a computer system and does not require a physical or digital signature. Your acceptance of these terms and conditions signifies your consent to use the App, the Website, and the services and products (collectively referred to as "Services") offered by Stockage in accordance with these terms.

This Agreement is published in compliance with Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which mandates intermediaries to publish rules, regulations, privacy policy, and user agreement for access or usage of their computer resources by users.

About Stockage

Stockage is involved in the business of distributing financial products and providing related services. Stockage, along with its Stockage, acts as mutual fund distributors registered with the Association of Mutual Funds in India (AMFI). Under applicable laws, Stockage and its Wealth Partners are only permitted to offer incidental advice regarding mutual fund products to their mutual fund distribution clients.

For all other purposes, including the distribution of non-mutual fund products, the information displayed on the Website is for informational purposes only. It is not intended to serve as investment advice, an opinion on securities, or a public offer forming the basis for any investment decision. No content on the Website should be interpreted as investment advice, an offer, solicitation, or advertisement for the purchase or sale of any security, and no part of it should be relied upon in connection with any contract or commitment.

Stockage may also be involved in the 'distribution only' of various financial and investment products, such as portfolio management services, bank and corporate fixed deposits, bonds, gold bonds, convertible debentures, debentures, the national pension scheme, and loan products. These products may be available/offered in primary and secondary security markets or through direct arrangements with third-party issuers/providers. Each distribution activity is conducted independently, and Stockage and Stockage do not offer any advisory services concerning these non-mutual fund products. Consequently, any information provided about these products should not be considered investment advice and should not be relied upon for making investment decisions.

 

Interpretation

The terms "him," "his," "you," "your," "client," "user," "investor," "subscriber," and "customer" refer to individuals who use and avail the Services and Products of the Stockage Website/App. These terms include both singular and plural forms. All headings, bold text, and italics are inserted for convenience only and do not define, limit, or affect the meaning or interpretation of the terms herein.

These terms constitute a binding contract ("Agreement") between Stockage and you when you download the App, use the services on the Website and/or the App, or use its Services on any platform managed by Stockage. Downloading and installing the App or using the Website or App services shall be deemed as proof that you have read, understood, and accepted these terms.

By accessing the Website, downloading the App, or using the Services, you acknowledge having read, understood, and agreed to be legally bound by this User Agreement. Stockage reserves the right to change the terms and conditions at any time, without notice. Continued use of the Website after changes to the Terms constitutes acceptance of those changes.

This User Agreement contains important information about the Services provided by Stockage. Users must read them carefully for their protection before accepting. If you do not agree with these terms, you must not use the Website, App, or the Services provided therein.

This User Agreement should be read in conjunction with the privacy policy and any other applicable documents relevant to a particular account, service, situation, circumstance, or transaction.

References to any statute, ordinance, or other law include all regulations and instruments and all consolidations, amendments, re-enactments, or replacements currently in force.

By using the Website and Services and accepting these terms, you represent that you are over 18 years of age, or have legal parental or guardian consent, and are fully able and competent to enter into this User Agreement, make investment decisions, execute investment transactions, evaluate advice (if any), and comply with these terms. Transactions conducted through the Website are subject to the provisions of the respective Scheme Information Documents, Statement of Additional Information, and Key Information Memorandum, as updated by relevant addenda.

 

Usage/Registration/Enrolment and Termination

Users are permitted to avail the Services on the Website only after completing the KYC, Investment Readiness, and Information Verification process and providing complete personal information as per the Know Your Client ("KYC") guidelines issued by the Securities and Exchange Board of India ("SEBI") and/or other regulatory or government agencies.

Stockage may use your personal information, which may be processed, transferred, or disclosed to third parties such as Asset Management Companies (AMCs), statutory bodies, agencies, third-party service providers, and partners, as necessary to provide better services to you. With your consent, your personal information collected during your use of the Website/App/Services may also be used to provide you with information, user experiences, and marketing materials related to other products and services. By entering into this User Agreement, you consent to your personal information being processed for these additional purposes. If you do not agree with the terms of this User Agreement, we recommend you do not sign up or avail yourself of any Services offered by Stockage.

By registering with Stockage or enrolling as a customer—whether as a sub-distributor, an end investor (directly or indirectly through sub-distributors), or an Stockage E-Wealth Account holder through the Website—you certify that the information you provide now or in the future is accurate. Stockage reserves the right, at its sole discretion, to deny you access to the Website or any portion thereof without notice for the following reasons:

Immediate termination by Stockage for any unauthorized access or use by you.
Immediate termination by Stockage if you assign or transfer (or attempt to assign or transfer) any rights granted to you under this User Agreement or any Client Agreement or Sub-broker Agreement you may have entered with Stockage.
Immediate termination if you violate any other terms and conditions of this Agreement.
The termination or cancellation of this Agreement shall not affect any right or relief to which Stockage may be entitled at law or in equity. Upon termination of this Agreement, all rights granted to you will terminate and revert to Stockage. Except as set forth herein, regardless of the reason for cancellation or termination of this User Agreement, any fee charged for access to Stockage is non-refundable for any reason.

License

Stockage grants you a limited, non-exclusive, non-assignable, and non-transferable license to access the Website, provided that all access and use are expressly conditioned upon your agreement to be governed by the terms and conditions set forth in this Agreement.

NOT Investment Advice

The information on the Website is provided for informational purposes only and does not constitute, nor should it be construed as, investment advice or a recommendation to buy, sell, or otherwise transact in any investment, including any products or services. It is not an invitation, offer, or solicitation to engage in any investment activity. The information on the Website is provided solely on the basis that you will make your own investment decisions. Stockage does not take into account any investor’s investment objectives, specific needs, or financial situation. Additionally, nothing on this Site shall constitute or be intended as financial, legal, accounting, or tax advice. It is strongly recommended that you seek professional investment advice before making any investment decisions. Any investment decision should be based on an assessment of your risks in consultation with your investment adviser.

Such investments are intended only for investors who can accept the risks associated with them, including the risk of a complete loss of investment. You should consider these risk warnings carefully and seek appropriate investment advice before making any investment decisions.

Proprietary Rights, Copyrights & No Retransmission of Information

All rights, titles, and interests in the Website, including its content, design, and information, are the exclusive property of Stockage, except where otherwise stated. Stockage is the sole owner of all intellectual property, including trademarks, logos, symbols, copyrighted works, reports, diagrams, patents, and designs associated with the Products, Services, websites, and other assets, including but not limited to domain names, source codes, and databases.

No material or information on the Website constitutes or should be interpreted as investment advice, an offer, solicitation, or advertisement for the purchase or sale of any security, and no part of it should be relied upon in connection with any contract or commitment.

The Website is for your personal and non-commercial use only. Nothing in this Agreement transfers or assigns any ownership rights to you or any other person or entity. The content of the Website cannot be altered, copied, reproduced, republished, uploaded, posted, transmitted, displayed, or distributed for non-personal use without prior written permission from Stockage. You may not perform, license, frame, create derivative works from, or otherwise use any information, reports, presentations, software, products, or services from the Website for commercial or public purposes without Stockage's prior written approval. Reselling, reproducing, redistributing, broadcasting, or transferring information, or using it in a searchable, machine-readable database, is prohibited unless specifically authorized in writing by Stockage.

You may not rent, lease, sublicense, distribute, transfer, copy, reproduce, publicly display, publish, adapt, store, or time-share the Website or any part of it, or any information accessed from it, to any other person or entity unless specifically authorized in writing by Stockage. Additionally, you may not remove, alter, or obscure any copyright, legal, or proprietary notices on the Website without prior written authorization. Any other use of the information on the Website requires Stockage's prior written consent. Stockage's logo and marks referenced herein are trademarks and service marks of Stockage. The names of other companies and third-party products or services mentioned herein may be trademarks or service marks of their respective owners.

You are prohibited from using any marks for any purpose, including but not limited to, as metatags on other pages or sites on the World Wide Web without Stockage's written approval or that of the third-party owners of the marks. Users of the Website have no right to use the intellectual property in any manner except as expressly permitted by Stockage. Users agree to treat all supplied or received information as confidential and privileged, and will not disclose it to any third party except those authorized by Stockage in writing. Users further agree not to use any such information to the detriment of Stockage or any other entity, at any time. Users agree not to make copies of any confidential information except for personal use within the terms of this agreement.

Stockage reserves the right to terminate the accounts of users who violate these proprietary rights. In the case of any actual or intentional breach of these terms, directly or indirectly, you will be liable for actual and punitive damages as determined by Stockage, in addition to any damages determined by an Indian court of law.

Security

Unauthorized use of Stockage's Website and systems is strictly prohibited. This includes unauthorized entry into Stockage's systems, online accounts, Stockage E-Wealth Account, Stockage Client Desks, Stockage Wealth Partner/Distributor Desks, and Stockage Agency Desks. Misuse of passwords or any other information is also prohibited. You may not use the Website in any way that could damage, disable, overburden, or impair any of Stockage's sites or services, or interfere with any other party's use and eStockageoyment of Stockage's sites, services, or online accounts. Attempting to gain unauthorized access to any of our sites, services, computer systems, or networks through hacking is forbidden. You agree not to engage in any activities related to the Website that are contrary to applicable laws or regulations.

Users of online accounts/desks, including Stockage E-Wealth Account, Stockage Client Desk, and Partners Desk, are primarily responsible for keeping their login IDs and passwords secure. They must not disclose this crucial information to any third party. Stockage is not responsible for any loss of information, or for any act of omission or commission, or any consequences, damages, claims, loss of personal information, or actions, transactions, instructions, etc., related to any security, investment product, or any alteration in personal information or admin rights arising from the leakage of login IDs and passwords.

Stockage may use certain technologies on its Websites to collect information from visitors and compile aggregate statistical information about how visitors use its Websites. This includes data on the frequency and length of visits, and which pages are viewed. Stockage uses this information to improve Website content and performance. No individually identifiable information is collected for this purpose, and Stockage does not monitor individual visitor behavior. Stockage does not guarantee that the Website will be available and meet your requirements, that access will be uninterrupted, or that there will be no delays, failures, errors, omissions, or loss of transmitted information. Stockage also does not guarantee that no viruses or other harmful properties will be transmitted or that your computer system will not be damaged. You are solely responsible for protecting and backing up your data and/or equipment and for taking reasonable precautions to scan for computer viruses or other harmful properties. Stockage and Stockage are not authorized to provide opinions, recommendations, or analyses on any client's consolidated or multi-product portfolio, except for mutual funds. However, clients may receive consolidated information on their investments and financial holdings, including details of current holdings, historical data, profit & loss information, returns and performance details, key observations/highlights, consolidated asset allocation, account information, and other factual representations in various formats. This information should not be interpreted as investment advice.

 

General Information

All material on the Website that is accessible without a login, including but not limited to information, online tools, articles, publications, literature, interviews, mutual fund reports, third-party reports, and research insights, is freely available to the public. None of this material should be construed as investment advice or client-specific recommendations. Any views expressed in these materials are general comments made in good faith regarding trends in the financial or securities market or the economic situation. These views are not specific to any particular security or investment product and should not be treated as investment advice. Stockage is not responsible for any views, personal opinions, or data shared by third parties that are interviewed or quoted and published on the Website; these should be considered personal opinions of those third parties. Service Delays

Stockage reserves the right, at its sole discretion, to change, improve, or correct the information, materials, and descriptions on the Website and to suspend or deny access to the Website for scheduled or unscheduled maintenance, upgrades, improvements, or corrections, without any obligation or notice requirement. Stockage may discontinue or change any product, service, or online user account described on its Website or in any parts thereof at any time if deemed appropriate. YOU AGREE THAT Stockage (including its officers, directors, employees, affiliates, group companies, agents, representatives, or subcontractors) shall not, in any event, be liable, whether in contract or tort, for any direct, special, indirect, consequential, or incidental damages or other damages of any kind arising out of the use or inability to use the Website for any purpose whatsoever, even if Stockage or any other such party has been advised of the possibility thereof. Stockage and its affiliates, officers, directors, employees, and agents shall have no liability in tort, contract, or otherwise to the user and/or any third party. This limitation on liability includes, but is not limited to, the transmission of any viruses which may infect a user's equipment, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems (e.g., you cannot access your internet service provider), unauthorized access, theft, operator errors, strikes, or other labor problems or any force majeure.
